Jeffrey R. Groendal is the Managing Shareholder of the Klinedinst Los Angeles office. Mr. Groendal has broad experience in corporate counsel work, M&A and general business transactions, real estate transactions and litigation, employment counseling and litigation (employer side), commercial litigation and arbitration, and intellectual property registration and litigation. In all of the foregoing fields, Mr. Groendal has served both large and mid-sized privately-held companies in addition to entrepreneurs.
On M&A matters, Mr. Groendal has experience as both buyers’ and sellers’ counsel, negotiating and overseeing the completion of all phases of a deal, from the negotiation and preparation of a letter of intent, to due diligence, to the drafting of primary (i.e. stock and asset purchase agreements) and ancillary agreements, and up to and through closing and post-closing items.
On real estate matters, Mr. Groendal specializes in the drafting, negotiation, and preparation of leases and purchase agreements, in addition to preparing limited partnership agreements and related securities documents for funds and syndicates.
He also frequently serves as outside general counsel to businesses and entrepreneurs, advising on matters of real estate, employment, corporate governance, corporate structure, financing and capital raising, regulatory and agency issues, intellectual property and licensing, and expansion and acquisitions. Mr. Groendal commonly drafts and negotiates a variety of agreements, including loan agreements, securities and stock subscription agreements, private placement memorandums, licensing agreements, and other general transactions.
On the litigation front, he has represented clients in complex litigation, including class actions, and has tried cases in both state and federal courts in California and Nevada. Mr. Groendal has extensive experience in all matters of case handling, from pre-litigation investigation and counseling to seeking or opposing equitable relief, and through discovery, trial, and the appellate process. He specializes in employment, real estate, and commercial litigation.
From 2008 to 2012, Mr. Groendal was an associate for a full-service firm in Irvine, California. He graduated magna cum laude in 2002 from the Marshall School of Business at the University of Southern California, with an emphasis in finance and business communication. Mr. Groendal graduated from Pepperdine University School of Law in 2007, having served as a founding editorial board member of the Journal of Business, Entrepreneurship and the Law. During law school, Mr. Groendal also served as a judicial extern to the Honorable Terry J. Hatter, United States District Judge for the Central District of California.
Mr. Groendal is licensed to practice law in both California and Oregon.
