Last Updated: [Date]
1. Scope; Acceptance; Incorporated Policies
Welcome to Klinedinst PC! These Terms of Use (“Terms”) create a legally binding agreement between you and Klinedinst PC, a California Professional Corporation, together with its shareholders, officers, directors, attorneys, employees, agents, contractors, and service providers (collectively, “Klinedinst PC,” “we,” “our,” or “us”). These terms govern your access to and use of our website, mobile applications, and related offerings (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.
These Terms incorporate by reference the following documents, each of which forms part of your agreement with Klinedinst PC and applies to your use of the Services:
- Privacy Notice – describes how we collect, use, share, and protect your Personal Information.
- Your Privacy Choices – explains how you can exercise rights and manage settings regarding the collection and sharing of your Personal Information.
- Cookies and Tracking Technologies Notice – provides details about cookies, pixels, and similar technologies used on our Services.
Together, these documents form a unified agreement between you and Klinedinst PC.
2. No Attorney-Client Relationship; Attorney Advertising
The information provided through the Services, including this website, is intended to provide general information, for informational and advertising purposes only, about Klinedinst PC and legal issues within the jurisdictions that our attorneys practice. It is not, and should not be relied upon as, legal advice regarding any specific facts or circumstances.
Your use of the Services, including submission of any contact or intake form, or any email or other communication with Klinedinst PC or its attorneys, does not create an attorney-client relationship. An attorney-client relationship with Klinedinst PC is formed only when we have expressly agreed to represent you pursuant to a signed engagement agreement.
Please do not send any confidential or privileged information to Klinedinst PC through the Services until you have received written confirmation from one of our attorneys that we will represent you in the applicable matter. Klinedinst PC cannot guarantee that information transmitted before a representation is established will be treated as confidential or privileged, so you should presume that any information provided before an attorney-client relationship is formed by way of a signed engagement agreement will be treated as though it is not confidential or privileged.
The attorneys of Klinedinst PC are licensed to practice in various jurisdictions; please refer to individual attorney biographies for jurisdiction-specific licensure information.
This website may constitute attorney advertising under the rules of professional conduct in certain jurisdictions.
3. Case Results and Testimonials Disclaimer
To the extent the Services reference any case results, outcomes, testimonials, or client endorsements, such content is provided for informational purposes only. Past results do not guarantee or predict a similar outcome in any future matter, as every matter depends on its own specific facts and circumstances. No representation is made that Klinedinst PC can obtain the same or similar results for any other client.
4. Updates to These Terms
Klinedinst PC may update these Terms from time to time to reflect changes in our business practices, Services, or applicable law. The “Last Updated” date at the top of these Terms indicates when they were most recently revised. If we make material changes, we will provide additional notice as required by law—such as by posting a notice on our website, sending an email notification, or providing notice through the Services. Unless we state otherwise, updates are effective immediately upon posting. Your continued use of the Services after the updated Terms are posted constitutes your acceptance of those changes. Notwithstanding the foregoing, any changes that materially affect dispute resolution or your legal rights will apply only as permitted by law and, where required, only after you have been provided notice and an opportunity to affirmatively consent.
5. Privacy and Security Practices
Klinedinst PC values your privacy and is committed to protecting your Personal Information. Our Privacy Notice explains how we collect, use, share, and protect information when you interact with our Services. You should also review our Your Privacy Choices and Cookies and Tracking Technologies Notice, which describe how we use certain technologies—such as cookies, pixels, analytics services, and session replay tools—how your Personal Information may be collected or shared, and how you can exercise your rights under applicable privacy laws, including the California Consumer Privacy Act, as amended by the California Privacy Rights Act (“CCPA”). California residents have specific rights regarding their Personal Information, including the right to know, delete, correct, and opt out of the “sale” or “sharing” of their Personal Information; these rights are described in detail in our Privacy Notice and Your Privacy Choices. To manage your preferences for cookies and similar technologies, or to exercise your privacy rights, you can open our preference center by clicking the Manage Cookie Settings link available on our Services at any time. By using the Services, you acknowledge and agree to the collection and use of your information as described in these policies, each of which is incorporated into and forms part of these Terms. Klinedinst PC takes commercially reasonable measures to safeguard your information, including administrative, technical, and physical controls designed to maintain the confidentiality, integrity, and availability of Personal Information. However, no system is completely secure.

You must be at least 18 years old to use our Services. By accessing or using the Services, you represent and warrant that you: (a) are at least 18 years of age; (b) have the legal capacity to enter into and be bound by these Terms; and (c) are not prohibited by applicable law from using the Services. If you access or use the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” as used in this agreement refers to both you individually and the entity you represent.
7. Content and Intellectual Property
7.1 Klinedinst PC Content
All content made available through the Services—including text, images, logos, graphics, attorney biographies and practice descriptions, videos, software, and other materials (collectively, “Klinedinst PC Content”)—is owned by Klinedinst PC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may access and use the Services and Klinedinst PC Content only for your personal, non-commercial use, and only as expressly permitted under these Terms. All rights not expressly granted are reserved by Klinedinst PC and its licensors.
8. Feedback & Suggestions
If you choose to provide ideas, suggestions, proposals, reviews, or other feedback to Klinedinst PC about our Services or business (“Feedback”), you agree that such Feedback is not confidential and becomes the property of Klinedinst PC. Feedback should not include personal information unless requested. By submitting Feedback, you grant Klinedinst PC a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, copy, modify, distribute, display, publish, and otherwise exploit the Feedback for any lawful purpose, including to improve or develop products and services, without compensation to you. You acknowledge and agree that Klinedinst PC may already be independently developing products, services, or technologies that are similar to or competitive with any Feedback you provide, and nothing in these Terms limits our right to continue such development.
9. Third-Party Services & Links
Our Services may contain links to or integrate with third-party websites, applications, platforms, or services (“Third-Party Services”). These links are provided for your convenience only. Klinedinst PC does not control, endorse, or assume any responsibility for Third-Party Services, their content, privacy or security practices, or activities. When you access or use Third-Party Services, you do so at your own risk and may be subject to that third party’s own terms and privacy policies. We encourage you to review their policies before providing any Personal Information or interacting with those services. Certain Third-Party Services—such as analytics providers, advertising networks, and social-media platforms—may collect information about your interactions with our Services through cookies, pixels, or similar technologies. For more information about these practices and how you can manage your choices, please see our Cookies and Tracking Technologies Notice and Your Privacy Choices.
10. Limitation of Liability
To the fullest extent permitted by law, Klinedinst PC will not be liable to you under any legal theory (including contract, tort, negligence, strict liability, warranty, or otherwise) for any:
Indirect, Incidental, or Consequential Damages. Including without limitation, loss of profits, revenue, business opportunities, goodwill, or data.
Special or Punitive Damages. Including exemplary damages or damages for emotional distress.
If Klinedinst PC is found liable to you for any claim arising out of or related to these Terms, the Services, or our product or service offerings, the maximum aggregate liability to you will not exceed the greater of:
- $100.00; or
- the total amount you paid to Klinedinst PC for the specific service giving rise to the claim.
These limitations apply even if we have been advised of the possibility of such damages. Nothing in this Section limits or excludes liability for gross negligence, fraud, willful misconduct, or any matter in which liability cannot be excluded or limited under applicable law.
Notwithstanding the foregoing, nothing in this Section is intended to, and this Section does not, limit or affect Klinedinst PC’s professional responsibilities or liability to clients for legal services rendered pursuant to a separate, signed engagement agreement, including any duties or standards of care owed under the California Rules of Professional Conduct or applicable law. This limitation of liability applies solely to your use of the Services (i.e., this website) and does not limit, modify, or otherwise apply to the scope of representation, duties, or liabilities set forth in any engagement agreement between Klinedinst PC and a client.
11. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Klinedinst PC from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your acts or omissions in connection with: (1) your access to or use of the Services; (2) your Feedback; (3) your violation of these Terms; or (4) your violation of any rights of a third party, including intellectual property, privacy, or publicity rights. Klinedinst PC may, at its expense, assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Klinedinst PC in asserting any available defenses. This indemnification obligation will survive the termination or expiration of these Terms and your use of the Services.
12. Governing Law and Venue
These Terms, and any disputes, claims, or controversies arising out of or relating to your use of the Services or these Terms, are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You and Klinedinst PC agree that the exclusive venue for any such dispute will be the state or federal courts located in San Diego County, California, and each party consents to the personal jurisdiction of those courts.
13. Modification & Termination
a. Modification of Services. Klinedinst PC may modify, suspend, or discontinue any part of the Services at any time without notice, except where notice is required by law. Modifications and additions are governed by these Terms unless expressly stated otherwise.
b. Updates to Terms. See Section 4 (Updates to These Terms) for information on how we notify users of material changes to these Terms or related policies.
c. Termination of Access. We may suspend, restrict, or terminate your access to the Services at any time, with or without cause, including for violations of these Terms, our policies, or applicable law. Upon termination, your right to use the Services will immediately cease.
d. Survival. Provisions that by their nature should survive termination will continue to apply, including but not limited to those relating to Intellectual Property, Feedback, Indemnification, Limitations of Liability, and Governing Law and Venue.
14. Miscellaneous
a. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, and any attempted assignment without consent is void. Klinedinst PC may assign or transfer its rights and obligations under these Terms without restriction.
b. Waiver. No waiver of any provision of these Terms will be effective unless in writing, and no waiver of any breach or default will constitute a waiver of any other or subsequent breach or default. Failure to enforce any right or provision will not operate as a waiver of that right or provision.
c. Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be modified or limited to the minimum extent necessary so that these Terms remain in full force and effect.
d. Entire Agreement. These Terms, together with the Privacy Notice, Your Privacy Choices, and Cookies and Tracking Technologies Notice, constitute the entire agreement between you and Klinedinst PC regarding your use of the Services. All other prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, are superseded.
e. Electronic Communications. You consent to receive agreements, notices, and disclosures electronically, and agree that electronic signatures and records related to your transactions with us satisfy legal requirements for writings or signatures.
f. Headings. Section and paragraph headings are provided for convenience only and do not affect interpretation.
g. Force Majeure. Klinedinst PC will not be liable for any delay or failure in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, government actions, labor disputes, supply-chain disruptions, power or internet outages, or failures of third-party service providers.
h. Accessibility. Klinedinst PC is committed to ensuring that our Services are accessible to individuals with disabilities. We strive to comply with applicable accessibility standards, including the Web Content Accessibility Guidelines (WCAG).
